Terms of Service

This is the agreement between you and Michael Nadler, carrying on business as TorontoBricks for the use of EMET. Using the service means you accept it.

The short version. EMET keeps your listings and stock in step across the marketplaces you sell on. Your data stays yours and you can take it with you.

You are responsible for what you sell and for following each marketplace's own rules. We keep the software running, but we can't promise a marketplace won't change its mind.

1What EMET does

EMET holds one canonical record of what you own and projects it onto the marketplaces you connect. When something sells in one place, it reconciles the quantity everywhere else.

The service is provided as it is described at the time you use it. We add and change features; we will not remove something you depend on without reasonable notice.

2Your account

You must be 18 or older and able to enter a contract.
You are responsible for what happens under your account, including anyone you invite into it.
Keep your sign-in secure. Tell us promptly if you think someone else has access.
One account per business. Don't share a single login across separate businesses — invite people instead, so actions are attributable.

3Marketplace connections

When you connect a marketplace, you authorise EMET to act there on your behalf — creating and updating listings, adjusting stock, and reading orders.

Their rules still apply. Each marketplace has its own terms and policies. Using EMET does not exempt you from them, and following them remains your responsibility.
They can change or withdraw access. Marketplaces alter their APIs, rate limits and rules without consulting us. We adapt as quickly as we reasonably can, but we do not control them and cannot guarantee a connection keeps working.
You can disconnect at any time, which revokes our access immediately.

4What you must not do

List anything you don't have the right to sell, or anything unlawful
Use EMET to breach a marketplace's terms, evade a suspension, or operate accounts you're not entitled to
Attempt to reach another user's data, or probe the service for weaknesses without asking us first
Resell or rebrand EMET as your own service without a written agreement
Automate against the service in a way that degrades it for others

If you find a security problem, tell us at security@emetweb.com. We will not pursue anyone who reports one in good faith and gives us a reasonable chance to fix it.

5Your data is yours

You own everything you put into EMET — products, photos, descriptions, prices, orders. We claim no ownership of it.

You grant us only the permission needed to run the service: to store your data, and to send it to the marketplaces you have connected. Nothing broader, and nothing that survives your account.

You can export your data at any time, and we will not hold it hostage if you leave.

6Fees

Pricing, billing intervals and any free tier will be set out at sign-up. We will give at least 30 days' notice before a price change affecting you, and you may cancel before it takes effect.

7Availability

We aim to keep EMET running continuously and will give notice of planned maintenance where we reasonably can. We do not currently offer a contractual uptime guarantee.

Some outages will be outside our control — a marketplace API failing, or an infrastructure provider having a bad day. We will tell you what we know when it happens.

8Warranties and liability

The service is provided "as is". To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We are not liable for indirect, incidental, special or consequential damages, including lost profits, lost sales, or lost data, even if we were told they were possible.

Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose.

Nothing here excludes liability that cannot lawfully be excluded, including for fraud, or for death or personal injury caused by negligence.

In plain terms: we will work hard to keep your listings accurate, but you run your business and we cannot underwrite its outcomes.

9Ending it

You may close your account at any time, for any reason.
We may suspend or close an account that breaches these terms, or where we are legally required to. Except where the law or the seriousness of a breach prevents it, we will tell you why and give you a chance to put it right.
After closure, you have 30 days to export your data. After that we delete it, as described in the Privacy policy.

10Changes to these terms

We may update these terms. For material changes we will give at least 30 days' notice by email. Continuing to use EMET after they take effect means you accept them; if you don't, close your account before then and export your data.

11Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Disputes go to the courts of Ontario, though we would much rather you emailed us first.
